1. Let's Get Started

Welcome to ROQChat! These Terms of Service ("Terms") are an agreement between you and ROQCX FZCO (we'll just say "ROQChat," "we," "our," or "us" from here on). They govern your use of our WhatsApp Business messaging platform.

By signing up for an account or using our platform in any way, you're agreeing to these Terms. If you're using ROQChat on behalf of a company or organization, you're confirming that you have the authority to bind that entity to these Terms.

If you don't agree with these Terms, we understand – but you'll need to stop using our services.

2. What We Offer

ROQChat is a platform that supercharges your WhatsApp Business messaging capabilities. Our services include:

• Messaging management: Send, receive, and organize WhatsApp messages
• AI-powered agents: Create intelligent chatbots that can handle customer inquiries
• Broadcast templates: Send personalized messages to multiple customers
• Automated FAQ responses: Set up automatic replies to common questions
• Contact organization: Keep your customer information organized
• Analytics: Understand how your messaging is performing

We're constantly improving our platform, so features may change over time. We'll notify you about significant changes that might affect how you use our services.

3. Your Account

To use ROQChat, you'll need to create an account and connect your WhatsApp Business account. Here's what you need to know:

• You must provide accurate and complete information when you register
• You're responsible for keeping your password secure
• All activity that happens under your account is your responsibility
• Let us know immediately if you suspect unauthorized access
• You must have proper authorization to connect any WhatsApp Business accounts

We may need to verify your identity or business information as part of the registration process or at any time afterward.

4. Using ROQChat Responsibly

We want ROQChat to be a positive experience for everyone. When using our platform, please don't:

• Break any laws or regulations
• Send spam or messages to people who haven't consented to receive them
• Harass, threaten, or harm others
• Distribute malware, phishing attempts, or other harmful content
• Infringe on intellectual property rights
• Attempt to access our systems or data without authorization
• Use our services in a way that could damage or overload them
• Resell or redistribute our services without our permission

We reserve the right to suspend or terminate accounts that violate these guidelines.

5. WhatsApp's Rules Apply Too

Since ROQChat works with WhatsApp, you must also comply with all WhatsApp and Meta policies, including:

• WhatsApp Business Policy
• WhatsApp Commerce Policy
• WhatsApp Business Platform Terms
• Meta Platform Terms

If WhatsApp or Meta determines that you've violated their policies, they may restrict your access to their services, which would affect your ability to use ROQChat. We can't override their decisions.

6. Pricing and Payments

We offer various subscription plans for ROQChat. By selecting a paid plan, you agree to pay the fees according to the pricing and terms presented at the time of purchase.

Each subscription tier includes a specific monthly message limit. The cost of these messages is included in your subscription fee - there are no additional charges for messages within your plan's limits. If you exceed your tier's message limit, you may be prompted to upgrade to a higher tier.

A few important points about billing:

• Subscription fees are typically billed in advance
• You're responsible for all applicable taxes
• Unlike other platforms, WhatsApp message costs are included in your ROQChat subscription
• If we can't process your payment, we may suspend your account until payment is received
• Price changes will be communicated in advance

You can cancel your subscription at any time, but refunds are provided only in accordance with our refund policy.

7. Intellectual Property

Our IP: ROQChat and its content, features, and functionality are owned by ROQCX FZCO and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works based on our platform without our permission.

Your Content: You retain ownership of the content you create and upload to ROQChat. By using our services, you grant us a license to use, reproduce, and process your content solely for the purpose of providing our services to you.

Feedback: If you provide suggestions or feedback about our services, we may use this feedback without restriction or compensation to you.

8. AI Features and Data Processing

Our platform includes AI-powered features like intelligent agents and automated responses. Here's how they work:

• Our AI systems process message content to generate appropriate responses
• You control what data is used to train your AI agents
• We implement safeguards to ensure AI features operate ethically and securely
• You're responsible for reviewing and approving AI-generated content before deployment

While our AI features are designed to be helpful, they may not be perfect. Always review important automated communications before they reach your customers.

9. Limitation of Liability

To the maximum extent permitted by law, ROQCX FZCO and its officers, directors, employees, and agents will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or reputation
• Service interruptions or failures
• Damages resulting from third-party services (including WhatsApp)
• Any damages exceeding the amount paid by you to us in the 12 months preceding the claim

Some jurisdictions don't allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless ROQCX FZCO and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit, post, or transmit through our services

11. Account Suspension or Termination

We may suspend or terminate your access to ROQChat at our discretion if:

• You violate these Terms or other policies
• We're required to do so by law
• We're discontinuing the service or a portion of it
• Your usage poses a security risk
• You haven't paid fees that are due

If your account is terminated, you may lose access to your content and data. Where possible, we'll provide you with an opportunity to export your data before termination.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We'll notify you of significant changes through the platform or by email, and we'll always indicate when the Terms were last updated.

Your continued use of ROQChat after changes take effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United Arab Emirates applicable to free zone companies in Dubai Silicon Oasis, without regard to conflict of law principles. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
